Overcast terms
Terms of Service
Version 2026-09-06. These terms must receive Nigerian legal review and be completed with the registered operator details before commercial launch.
1. The Overcast service
Overcast provides an online marketplace for buyers and vendors. Overcast is not a bank, deposit-taking institution, payment service provider, or insurer. Payment processing and bank transfers are provided by approved payment partners, including Paystack, subject to their own terms and applicable law.
2. Eligibility and account security
You must provide accurate information and be legally permitted to use the service. You are responsible for keeping your password, transaction PIN, and account access secure. Do not share credentials or create accounts for another person. We may request identity, bank-account, or other verification information before enabling vendor or payout features.
3. Wallet funding and balances
A buyer wallet is an internal transaction ledger used to record verified funds available for marketplace purchases. A deposit is not available until the payment processor confirms it. Wallet balances do not earn interest and are not bank deposits. We may delay, reverse, restrict, or investigate a balance when a payment is pending, reversed, disputed, fraudulent, or required to comply with law or processor rules.
4. Escrow and vendor revenue
When a buyer places an order, the purchase amount may be reserved in the order escrow flow. Vendor revenue remains pending until the order is completed, the buyer confirms receipt, a permitted release condition occurs, or a dispute is resolved. Vendor revenue is separate from a vendor's spendable wallet balance and may only be used for eligible withdrawals; it cannot be used to purchase marketplace items.
5. Withdrawals and payouts
Withdrawals are paid only to a verified bank account or payment recipient belonging to the vendor. We may impose daily limits, one-withdrawal-per-day rules, minimum amounts, cooling-off periods, verification requirements, or temporary holds. A withdrawal is not complete until the payment provider confirms a successful transfer. Failed or reversed transfers may be returned to the vendor revenue balance.
6. Fees, refunds, and payment disputes
Platform fees, payment-processing fees, withdrawal fees, and applicable taxes will be disclosed where required. Refunds and reversals are handled according to the order status, dispute outcome, payment-provider rules, and applicable law. A user must not initiate an unauthorised chargeback while also seeking duplicate recovery through Overcast.
7. Marketplace conduct
Users must not list, buy, or promote illegal, stolen, counterfeit, unsafe, deceptive, regulated, or prohibited goods or services. Fraud, account takeover, payment manipulation, fake reviews, harassment, abuse of disputes, and attempts to bypass fees or security controls are prohibited.
8. Orders and disputes
Buyers and vendors must provide accurate listings, communicate honestly, and fulfil their obligations. A buyer should open a dispute before escrow is released and provide truthful evidence. We may review relevant order records, messages, reports, and submitted evidence to investigate a dispute. A release decision may be final within the service, subject to any rights that cannot legally be excluded.
9. Suspension and termination
We may suspend accounts, restrict balances, remove listings, cancel orders, or terminate access where we reasonably suspect fraud, security risk, prohibited conduct, non-payment, abuse, or a legal or payment-provider requirement. We may retain records needed for disputes, fraud prevention, accounting, regulatory duties, and legal claims.
10. Data and retention
Personal data is handled under the Privacy Policy. Operational chat and order-history data may be deleted under the published retention schedule, but payment, audit, identity, dispute, and financial records may be retained longer where required by law, payment partners, fraud prevention, or legitimate claims.
11. Availability and liability
The service may be unavailable, delayed, or limited by maintenance, banks, payment processors, networks, fraud controls, or events outside our control. Nothing in these terms excludes rights or liability that cannot legally be excluded. Any limitation of liability must be reviewed and completed by qualified counsel for the applicable jurisdiction.
12. Changes and contact
We may update these terms when the service, law, or payment arrangements change. Material changes will be identified with a new version. Support: overcastsupport@gmail.com. The registered business name, legal address, governing law, complaint route, and final refund policy must be added before public commercial launch.
